Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Los Angeles County, California. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
17.3 Waiver
No failure or delay by Kiingo in exercising any right or remedy under this Agreement shall constitute a waiver of that right or remedy. A waiver of any provision shall not constitute a waiver of any other provision or a continuing waiver of the same provision.
17.4 Assignment
You may not assign or transfer this Agreement or any rights hereunder without Kiingo's prior written consent. Kiingo may freely assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
