These Terms of Use ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Kiingo, LLC, a California limited liability company ("Kiingo," "we," "us," or "our"). These Terms govern your access to and use of the Kiingo AI for Zoom application, including all related software, services, features, content, and documentation (collectively, the "Application").

By accessing, installing, authorizing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all terms and conditions herein, you must not access or use the Application.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" or "your" shall refer to that entity.

1. Definitions

  • "Authorized Users" means individuals whom you have authorized to use the Application under your account, subject to these Terms.
  • "Zoom Data" means any data, information, or content accessed from or transmitted to your Zoom account through the Application, including but not limited to meeting recordings, transcripts, meeting metadata, participant information, chat messages, scheduling data, and attendance records.
  • "Zoom" means Zoom Video Communications, Inc., the provider of Zoom products and services.
  • "Third-Party Services" means any products, services, platforms, or applications provided by entities other than Kiingo that may be integrated with or accessible through the Application.

2. License Grant

2.1 Limited License

Subject to your compliance with these Terms, Kiingo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application solely for your internal business purposes in accordance with these Terms and any applicable documentation.

2.2 Scope of License

This license permits you to:

  • Connect the Application to your authorized Zoom account(s);
  • Access and use features of the Application as made available by Kiingo;
  • Allow your Authorized Users to access the Application under your account, provided they comply with these Terms.

2.3 License Restrictions

You shall not, and shall not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the Application or any part thereof;
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Application;
  • Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer or make the Application available to any third party;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Application;
  • Use the Application to develop a competing product or service;
  • Use the Application in any manner that violates applicable laws, regulations, or third-party rights;
  • Use the Application to transmit viruses, malware, or other harmful code;
  • Circumvent, disable, or interfere with any security or access-control features of the Application;
  • Use automated means (bots, scrapers, crawlers) to access the Application except through APIs explicitly provided by Kiingo;
  • Exceed any usage limits, rate limits, or access restrictions imposed by Kiingo or Zoom;
  • Use the Application in a manner that could damage, disable, overburden, or impair Kiingo's servers or networks.

3. Account Registration and Zoom Authorization

3.1 Account Requirements

To use the Application, you must have an active Zoom account. You are responsible for maintaining the security and confidentiality of your account credentials for both Kiingo and Zoom.

3.2 OAuth Authorization

The Application connects to your Zoom account through Zoom's OAuth 2.0 authorization framework. By authorizing the connection, you grant the Application permission to access your Zoom Data as described in our Privacy Policy. You may revoke this authorization at any time through your Zoom account settings or the Zoom App Marketplace.

3.3 Account Responsibility

You are solely responsible for all activities that occur under your account, including actions taken by your Authorized Users. You must immediately notify Kiingo of any unauthorized access to or use of your account.

4. Your Representations and Warranties

By using the Application, you represent and warrant that:

  • You have full legal authority to enter into these Terms and to grant Kiingo the rights described herein;
  • You are the lawful owner or authorized administrator of the Zoom account(s) you connect to the Application;
  • You have obtained all necessary consents, authorizations, and permissions from all meeting participants, attendees, and individuals whose personal information is contained in your Zoom Data, including but not limited to consent for recording, transcription, and AI processing, to the extent required by applicable law, prior to granting the Application access to such data;
  • You have complied with all applicable recording notification and consent laws, including but not limited to two-party consent laws in jurisdictions where they apply (such as California, Illinois, and other states), before allowing the Application to access meeting recordings or transcripts;
  • Your use of the Application and your provision of Zoom Data to Kiingo does not and will not violate any applicable law, regulation, contractual obligation, or third-party right, including privacy and wiretapping rights;
  • You are responsible for providing any legally required notices to meeting participants and data subjects whose information is processed through the Application;
  • You will comply with all applicable data protection and privacy laws in connection with your use of the Application, including but not limited to the California Consumer Privacy Act (CCPA), the California Privacy Rights Act (CPRA), and any other applicable state, federal, or international privacy laws;
  • All information you provide to Kiingo in connection with your use of the Application is accurate, current, and complete;
  • You will comply with Zoom's terms of service, developer policies, acceptable use policies, and the Zoom App Marketplace guidelines in connection with your use of the Application.

Any breach of these representations and warranties shall constitute a material breach of these Terms and may result in immediate termination of your access to the Application.

5. Zoom Data and Data Processing

5.1 Data Access

The Application accesses, processes, and analyzes Zoom Data to provide its features and functionality. The types of data accessed may include:

  • Meeting recordings and transcripts: audio recordings, video recordings, cloud recording files, and automated or manual transcription data;
  • Meeting metadata: meeting titles, descriptions, schedules, duration, start and end times, meeting IDs, and host information;
  • Participant data: participant names, email addresses, join and leave times, attendance records, and roles;
  • Chat messages: in-meeting chat messages and, where authorized, Zoom Team Chat messages;
  • Scheduling and calendar data: upcoming meetings, recurring meeting schedules, and calendar integration data.

5.2 Data Ownership

As between you and Kiingo, you retain all right, title, and interest in and to your Zoom Data. Nothing in these Terms transfers ownership of your data to Kiingo.

5.3 Data Processing

You acknowledge and agree that the Application may process your Zoom Data using artificial intelligence and machine learning technologies to deliver its features, including generating meeting summaries, action items, insights, follow-up automations, and other analytical outputs. Kiingo processes your data solely in accordance with these Terms and our Privacy Policy.

5.4 Data Accuracy

Kiingo does not guarantee the accuracy, completeness, or reliability of any transcriptions, summaries, action items, insights, or other outputs generated by the Application based on your Zoom Data. Automated transcription and AI analysis are inherently imperfect. You are solely responsible for verifying any outputs before relying on them for business decisions, communications, legal matters, or any other purpose.

6. Intellectual Property

6.1 Kiingo's Ownership

The Application, including all software, code, algorithms, models, designs, documentation, trademarks, trade secrets, and other intellectual property embodied therein, is and shall remain the exclusive property of Kiingo and its licensors. These Terms do not grant you any rights in or to Kiingo's intellectual property except the limited license expressly set forth in Section 2.

6.2 Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by Kiingo and its licensors. No implied licenses are granted by these Terms.

6.3 Feedback

If you provide Kiingo with any feedback, suggestions, ideas, or recommendations regarding the Application ("Feedback"), you hereby grant Kiingo a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without restriction or obligation to you.

7. Third-Party Services

7.1 Zoom

The Application integrates with products and services provided by Zoom. Your use of Zoom is subject to Zoom's terms of service, privacy policy, and other applicable agreements. Kiingo is not responsible for the availability, functionality, or performance of Zoom or any Zoom services.

7.2 No Endorsement

Kiingo is an independent software provider. The Application is not endorsed, certified, or sponsored by Zoom. Zoom is a registered trademark of Zoom Video Communications, Inc.

7.3 Third-Party Data Reliability

The Application relies on data received from Zoom and other Third-Party Services through their respective APIs. Kiingo does not control, verify, or guarantee the accuracy, completeness, timeliness, or reliability of data provided by third-party APIs. Kiingo shall have no liability for any errors, inaccuracies, data corruption, data loss, synchronization failures, or service interruptions caused by or originating from Zoom or any other Third-Party Service.

7.4 Other Third-Party Services

The Application may integrate with or provide access to other Third-Party Services. Your use of such services is subject to their respective terms and conditions. Kiingo disclaims all liability for Third-Party Services.

8. Fees and Payment

8.1 Pricing

Access to the Application may be subject to fees as described on Kiingo's website or in a separate order form. Kiingo reserves the right to modify pricing with thirty (30) days' prior written notice.

8.2 Payment Terms

All fees are due in advance and are non-refundable except as expressly stated in these Terms or required by applicable law. Failure to pay fees when due may result in suspension or termination of your access to the Application.

8.3 Taxes

All fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, and other taxes, excluding taxes based on Kiingo's net income.

9. Confidentiality

9.1 Definition

"Confidential Information" means any non-public information disclosed by one party to the other in connection with these Terms, whether oral, written, or electronic, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Kiingo's Confidential Information includes, without limitation, the Application's source code, algorithms, models, architecture, pricing, performance data, security measures, business plans, and any non-public features or functionality. Your Confidential Information includes your Zoom Data and account credentials.

9.2 Obligations

Each party agrees to: (a) maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) not disclose Confidential Information to any third party without prior written consent, except to employees, contractors, or agents who have a need to know and are bound by confidentiality obligations at least as protective as those in these Terms; and (c) use Confidential Information solely for the purposes of exercising rights or performing obligations under these Terms.

9.3 Exclusions

Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party prior to disclosure without restriction; (c) is independently developed by the receiving party without use of the Confidential Information; or (d) is rightfully received from a third party without restriction on disclosure.

9.4 Compelled Disclosure

A party may disclose Confidential Information to the extent required by law, regulation, or court order, provided that the disclosing party gives the other party prompt written notice (to the extent legally permitted) and reasonable assistance to contest or limit the disclosure.

9.5 Survival

The obligations under this Section 9 shall survive termination of these Terms for a period of three (3) years, or indefinitely with respect to trade secrets to the extent protected under applicable law.

10. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIINGO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;
  • WARRANTIES THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY TRANSCRIPTIONS, SUMMARIES, ACTION ITEMS, ANALYSES, OR OTHER OUTPUTS PROVIDED BY THE APPLICATION;
  • WARRANTIES THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YOU ACKNOWLEDGE THAT THE APPLICATION USES ARTIFICIAL INTELLIGENCE, MACHINE LEARNING, AND AUTOMATED SPEECH RECOGNITION TECHNOLOGIES THAT MAY PRODUCE INACCURATE, INCOMPLETE, OR MISLEADING RESULTS. TRANSCRIPTIONS MAY CONTAIN ERRORS. SUMMARIES MAY OMIT MATERIAL INFORMATION. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AND RELIANCE ON SUCH OUTPUTS.

11. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE APPLICATION IS AT YOUR SOLE RISK. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, YOU ASSUME ALL RISK AND LIABILITY ARISING FROM:

  • ANY BUSINESS, OPERATIONAL, LEGAL, OR PERSONNEL DECISIONS MADE BASED ON, OR INFLUENCED BY, OUTPUTS, TRANSCRIPTIONS, SUMMARIES, ACTION ITEMS, OR RECOMMENDATIONS GENERATED BY THE APPLICATION;
  • ANY INACCURACIES IN AUTOMATED TRANSCRIPTION, SPEAKER IDENTIFICATION, OR SENTIMENT ANALYSIS;
  • ANY DATA LOSS, DATA CORRUPTION, OR SYNCHRONIZATION ERRORS BETWEEN THE APPLICATION AND YOUR ZOOM ACCOUNT;
  • ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA RESULTING FROM YOUR FAILURE TO MAINTAIN THE SECURITY OF YOUR CREDENTIALS;
  • ANY RECORDING OR TRANSCRIPTION OF MEETINGS WHERE YOU HAVE NOT OBTAINED ADEQUATE PARTICIPANT CONSENT;
  • YOUR RELIANCE ON THE COMPLETENESS OR ACCURACY OF DATA SYNCED FROM ZOOM OR OTHER THIRD-PARTY SERVICES.

12. No Fiduciary or Advisory Relationship

NOTHING IN THESE TERMS OR IN YOUR USE OF THE APPLICATION CREATES A FIDUCIARY, ADVISORY, PROFESSIONAL-CLIENT, OR TRUST RELATIONSHIP BETWEEN KIINGO AND YOU. THE APPLICATION PROVIDES INFORMATIONAL AND ANALYTICAL TOOLS ONLY. YOU ARE SOLELY RESPONSIBLE FOR ALL DECISIONS AND ACTIONS TAKEN BASED ON THE APPLICATION'S OUTPUTS.

13. Limitation of Liability

13.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KIINGO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE APPLICATION, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF KIINGO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, KIINGO SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (I) ANY DATA BREACH, UNAUTHORIZED ACCESS, OR SECURITY INCIDENT AFFECTING YOUR DATA, WHETHER ORIGINATING FROM KIINGO'S SYSTEMS, THIRD-PARTY SERVICES, OR YOUR OWN SYSTEMS; (II) ANY ERRORS, INACCURACIES, OR OMISSIONS IN DATA PROVIDED BY ZOOM OR OTHER THIRD-PARTY APIS; (III) ANY DECISIONS OR ACTIONS BASED ON APPLICATION OUTPUTS; OR (IV) ANY INTERRUPTION, SUSPENSION, OR DISCONTINUATION OF THE APPLICATION OR ANY THIRD-PARTY SERVICE.

13.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIINGO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO KIINGO DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

13.3 Basis of the Bargain

The limitations and exclusions in this Section 13 reflect a fair and reasonable allocation of risk between the parties and form an essential basis of the bargain between the parties. Kiingo would not provide the Application without these limitations.

14. Indemnification

14.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Kiingo, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Application or any activity under your account;
  • Your violation of these Terms or any applicable law or regulation;
  • Your breach of the representations and warranties set forth in Section 4;
  • Your Zoom Data or any content you submit, transmit, or make available through the Application;
  • Your infringement or misappropriation of any third-party rights;
  • Any claims by meeting participants, attendees, employees, contractors, or other individuals arising from your use of the Application, your failure to obtain required consents for recording, transcription, or AI processing, or your violation of applicable recording or wiretapping laws;
  • Any claim that your Zoom Data or your provision thereof to Kiingo violates any applicable privacy, data protection, employment, or communications law.

14.2 Indemnification Procedure

Kiingo shall promptly notify you of any claim subject to indemnification and provide reasonable cooperation at your expense. Kiingo reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

15. Termination

15.1 Termination by You

You may terminate these Terms at any time by disconnecting the Application from your Zoom account and ceasing all use of the Application. To disconnect, you may revoke access through the Zoom App Marketplace or your Zoom account settings.

15.2 Termination by Kiingo

Kiingo may suspend or terminate your access to the Application at any time, with or without cause, with or without notice, including but not limited to if:

  • You breach any provision of these Terms;
  • Kiingo is required to do so by law, regulation, or court order;
  • Kiingo's listing on the Zoom App Marketplace is terminated, suspended, or modified;
  • Kiingo discontinues the Application or any part thereof;
  • Kiingo determines, in its sole discretion, that continued use poses a risk to Kiingo, its systems, or other users.

15.3 Effect of Termination

Upon termination of these Terms:

  • Your license to use the Application immediately terminates;
  • You must cease all use of the Application;
  • Kiingo will delete or anonymize your data in accordance with our Privacy Policy, subject to any legal retention requirements;
  • All accrued payment obligations under Section 8 shall remain due and payable;
  • Sections 1, 4, 5.2, 6, 8 (for accrued obligations), 9, 10, 11, 12, 13, 14, 16, 17, 18, and 19 shall survive termination.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

16.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Los Angeles County, California. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

16.3 Arbitration Costs

Each party shall bear its own costs and attorneys' fees in connection with any arbitration proceeding. The arbitration filing fees shall be allocated in accordance with the AAA's Commercial Arbitration Rules. The arbitrator may, in their discretion, award reasonable costs and attorneys' fees to the prevailing party.

16.4 Class Action Waiver

YOU AND KIINGO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

16.5 Small Claims Exception

Notwithstanding the arbitration provisions above, either party may bring an individual action in small claims court for claims within the court's jurisdictional limits.

16.6 Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

16.7 Statute of Limitations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APPLICATION MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIMANT KNEW OR REASONABLY SHOULD HAVE KNOWN OF THE BASIS FOR THE CLAIM. FAILURE TO FILE WITHIN THIS PERIOD SHALL CONSTITUTE A PERMANENT AND IRREVOCABLE WAIVER OF SUCH CLAIM.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Kiingo regarding the Application and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

17.3 Waiver

No failure or delay by Kiingo in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any provision shall not constitute a waiver of any other provision or a continuing waiver of the same provision.

17.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without Kiingo's prior written consent. Kiingo may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

17.5 Force Majeure

Kiingo shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, power outages, or third-party service disruptions.

17.6 Notices

All notices under these Terms shall be in writing and sent to the contact information provided. Kiingo may provide notice to you via email to the address associated with your account or through the Application.

17.7 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.

17.8 No Third-Party Beneficiaries

These Terms are for the sole benefit of Kiingo and you, and nothing herein shall confer upon any third party (including but not limited to meeting participants, attendees, your employees, contractors, or Authorized Users) any right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

17.9 Export Compliance

You agree to comply with all applicable export and import control laws and regulations, including the U.S. Export Administration Regulations, in connection with your use of the Application.

18. Changes to These Terms

Kiingo reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date. For material changes, we will also provide notice through the Application or via email. Your continued use of the Application after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified terms, you must stop using the Application.
